Welcome to Fluid PC (the “Software”) — developed and provided by Fluid PC / Nuellestech (“we”, “us”, or “Company”). These Terms & Conditions (“Terms”) govern your access to and use of the Software, downloadable files, related services, and any associated web pages (collectively, the “Services”). By downloading, installing, activating, or using Fluid PC you agree to be bound by these Terms. If you do not agree, do not install or use the Software.
“User” or “You” — the individual or entity that downloads, installs, uses, or purchases the Software. “License” — the limited, non-exclusive, non-transferable right to use the Software granted under Section 3. “Activation Key” — a license key or token that enables paid features and verifies valid license status.
These Terms are a legally binding agreement. By using the Software you accept and agree to be bound by these Terms and our Privacy Policy. We may update these Terms from time to time; material changes will be posted to our website with a new effective date. Continued use after changes constitutes acceptance of the updated Terms.
Subject to your compliance with these Terms and successful payment (for paid tiers), we grant you a limited, non-exclusive, non-transferable license to use the Software as follows:
Licenses are for personal or internal business use only. Resale, sublicensing, distribution, or use as a service is prohibited unless expressly authorized in writing by us.
The Software uses an Activation Key to validate license status. By using the Software you consent to online license verification and to the transmission of minimal device identification, activation key, and usage metadata to our servers or our authorized license provider (e.g., Paddle). We may automatically deactivate licenses that are expired, revoked, or found to be used in violation of these Terms.
Time-limited licenses: Basic and Pro are time-limited (1 year). After the license period ends, the Software will lose access to paid features until the license is renewed. Enterprise licenses are issued as lifetime but may be subject to termination for fraud, misuse, or material breach of these Terms.
Payment for paid licenses is processed by our payment provider (Paddle). Payouts or vendor-related payments may use Payoneer for disbursement on our side. You agree to pay all fees for the license you purchase and any applicable taxes. If a payment method fails or is disputed, we may suspend the license until payment is resolved.
We aim to be fair. Our standard refund policy is a 30-day money-back period from the date of purchase for new, single-user license purchases, provided the Software has not been used in breach of these Terms. Refunds will not be granted for licenses that were obtained fraudulently, abused, rooted/hacked systems, or where there is evidence of purposeful circumvention of license controls. If you purchased via a third-party marketplace (e.g., Paddle), their refund and cancellation policies may also apply.
License seats for Pro and Enterprise may be managed through your account dashboard. Transfer of seats between individual devices may require deactivation and reactivation. You may not transfer a license to another person or entity except with our written consent and payment of any transfer fees we require.

We may provide updates, bug fixes, upgrades, or other modifications to the Software. Updates may be automatically downloaded and installed; you consent to automatic updates. Access to certain updates may depend on your license type. We are not obligated to provide continuous support or upgrades for deprecated or unsupported operating systems.
Our Privacy Policy explains what data we collect when you use the Software and how we use it. In short: we collect minimal technical data required for activation, license verification, error reporting, and to improve the Software. We do not sell your personal data. If you opt into additional telemetry or optional features (e.g., cloud export), you authorize that data collection and transfer as explained in the Privacy Policy.
All title, ownership rights, and intellectual property rights in the Software and all copies remain with the Company and its licensors. These Terms do not grant you any rights to the Company’s trademarks, service marks, or logos.
Basic support options and documentation are available at yourdomain.com/support. Paid support, custom integration, or enterprise support options may be offered under separate agreements.
The Software is provided “AS IS” and “AS AVAILABLE” without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
To the maximum extent permitted by applicable law, in no event shall the Company, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including lost profits, lost data, loss of business, or business interruption) arising out of or related to your use of or inability to use the Software, even if we have been advised of the possibility of such damages.
Our aggregate liability for direct damages arising from these Terms shall not exceed the amount you actually paid for the license to the Software in the 12 months preceding the claim. This limitation does not apply to liability resulting from gross negligence or willful misconduct to the extent that law prohibits such limitation.
You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, unauthorized use of the Software, or violation of law.
We may suspend or terminate your license and access if you breach these Terms, attempt to tamper with license controls, or for any unlawful activity. On termination, your license rights immediately cease and you must stop using the Software and uninstall all copies. Clauses that by their nature survive termination (e.g., IP, limitations of liability, indemnification) will continue to apply.
You may not export, re-export, or transfer the Software contrary to applicable export control laws and regulations. You warrant that you are not located in, under the control of, or a national or resident of any country to which the Company is prohibited from providing the Software under applicable law.
We may change, discontinue, or retire features of the Software, or alter pricing, on notice. In the event of an acquisition, merger, or sale of assets, your license and data may be transferred to the successor entity in accordance with the Privacy Policy.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Any dispute arising out of or related to these Terms shall be resolved by the courts located in Lagos, Nigeria (unless the parties agree to alternative dispute resolution). You consent to the exclusive jurisdiction of those courts.
